Terms of Use

Effective October 15, 2026

Article 1 (Purpose)

These Terms set out the conditions and procedures for using Umoh and related services (the "Service") provided by Splab Inc. (the "Company"), and the rights, obligations and responsibilities of the Company and users.

Article 2 (Definitions)

  1. In these Terms, the following words have the meanings below:
  • a) "Service" means Umoh and related services that the Company provides through devices such as PCs and smartphones, including the host console, event pages and email notifications.
  • b) "user" means a host or participant who uses the Service under these Terms.
  • c) "host" means a user who creates an organization, or belongs to one, and creates and runs events on the Service.
  • d) "participant" means a user who is invited to or registers for an event created by a host and uses its event page.
  • e) "organization" means an operating unit that hosts create on the Service for the company or group they belong to. Event fees are borne by the organization, and billing information such as the payment method and billing currency belongs to the organization.
  • f) "administrator" means a host who has permission to manage the organization's settings, such as registering a payment method.
  • g) "event page" means a web page for each event that a host publishes for participants.
  • h) "account" means a unit of use, created with the user's email address or an external account permitted by the Company, that identifies the user.
  • i) "verification code" means a one-time code that the Company sends to the user's email address to verify the user's identity.
  • j) "content" means information that users post on the Service, such as text, photos, profiles, messages and files.
  • k) "Japan-based organization" means an organization created for a company or group whose head office or principal office is located in Japan, and includes that company or group.
  1. Words not defined in these Terms have the meanings given to them under applicable laws and general practice.

Article 3 (Posting and Amendment of the Terms)

  1. The Company posts these Terms on the Service or the Company's website so that users can easily review them.

  2. The Company may amend these Terms to the extent permitted by applicable laws.

  3. When the Company amends these Terms, it announces the changes, the effective date and the reason from 7 days before the effective date until a reasonable period after it. For changes that are unfavorable or material to users, the Company announces them from 30 days before the effective date and also notifies the users affected by the change at their registered email addresses.

  4. When giving notice under paragraph 3, the Company also states that users who do not object by the day before the effective date will be deemed to accept the amended Terms. A user who does not object by then is deemed to accept the amended Terms. Users who do not accept the amended Terms may stop using the Service and terminate their service agreement.

Article 4 (Formation of the Service Agreement)

  1. The service agreement is formed when a user agrees to these Terms and applies for use through the procedure set by the Company, and the Company accepts the application.

  2. The Company may refuse an application that falls under any of the following, and may terminate the service agreement if it learns of such a case after acceptance:

  • a) The applicant used another person's email address or information without authorization.
  • b) The application contains false information or omits required information.
  • c) The application is made for the purpose of violating applicable laws or harming public order.
  • d) The applicant does not meet other usage requirements set by the Company.

Article 5 (Account Management)

  1. Users must manage their account, email account and verification codes themselves and must not let third parties use them.

  2. If users learn that their account has been stolen or is being used by a third party, they must notify the Company immediately and follow the Company's guidance.

  3. The Company is not liable for damage caused by a user's failure to comply with paragraph 1 or 2, unless the Company is at fault through intent or negligence.

Article 6 (Protection of Personal Information)

  1. The Company protects users' personal information in accordance with applicable laws. Matters concerning the processing of personal information are governed by the Company's Privacy Policy.

  2. Hosts are responsible, as personal information controllers under applicable laws, for the personal information of participants that they register on the Service or download from the Service and process. When processing it, hosts must have a lawful basis under applicable laws, must use it only for the purpose of running the relevant event, and must destroy it no later than one year after the event page end date.

  3. The Company may provide user information to investigative agencies and other authorities to the extent requested through the procedures and methods prescribed by applicable laws.

Article 7 (Provision and Changes of the Service)

  1. The Company provides services such as publishing event pages, registering and managing participants, participant lists and profiles, messages, announcements, and meeting requests and scheduling. The features included in each plan are announced on the website.

  2. The Company may change the Service as operationally or technically necessary and announces in advance any change that materially affects users.

  3. If the Company discontinues the entire Service, it announces this at least 30 days before the discontinuation date and notifies hosts separately.

  4. Some features of the Service use Google Maps, and their use is subject to the Google Maps End User Additional Terms of Service and the Google Privacy Policy.

Article 8 (Fees and Payment)

  1. Fees for using the Service ("event fees") are determined by the plan the host chooses for each event. The rate table for each plan and the number of free participants are announced on the website.

  2. Event fees are calculated separately for each event and for each billing period. The billing date of each billing period is the day after it ends, except that the billing date of the last billing period is the event page end date.

  3. Billing periods are measured in the event's time zone. The first billing period starts at the time the event was first published. From the second billing period onward, billing periods start every month on the same day of the month as the first publication or, if a month has no such day, on the last day of that month. Each billing period ends on the day before the next one starts, and the last billing period ends on the event page end date. For example, for an event first published on March 31, the first billing period runs through April 29, the next from April 30 through May 30, and the one after that from May 31 through June 29. Billing periods continue even while the event is unpublished, and republishing the event does not change their starting point.

  4. The event page end date defaults to the event end date, and the host may extend it beyond the event end date.

  5. The fee for each billing period is calculated by applying the per-plan rate table announced on the website at the time the event was first published to the number of participants who were entered participants at least once during that billing period. An entered participant is an approved participant who has signed in to the event page.

  • a) Each participant is counted once per billing period. A participant who is still an entered participant in a later billing period is counted again in that period, including while the event is unpublished.
  • b) A participant who entered during a billing period is still counted for that period even if the participant is later rejected or deleted. A deleted participant who registers and enters again is counted as a new participant.
  • c) Free participants and volume tiers apply anew in each billing period.
  • d) If the host uses add-on features such as badge printing, their fees are calculated together with the fee for that billing period, at the unit prices announced on the website at the time the event was first published.
  • e) If the plan is changed during a billing period, the fee for the entire billing period is calculated under the plan in effect when the period is settled. An event that has been published even once cannot be changed to a lower plan.
  • f) Value-added tax (VAT) is charged separately on all fees.
  1. The Company issues an invoice for each event on each billing date when there is an amount to charge.

  2. Organizations must register a payment method before publishing an event, except for organizations that pay by invoice under a contract. Payment methods are registered by the organization's administrators, and by registering a payment method, the administrator authorizes, on behalf of the organization, the Company to charge the amount of each invoice under paragraph 6 to the registered payment method on each billing date. The organization may withdraw this authorization by terminating the service agreement under Article 13. However, events already published continue to be settled and charged under Article 13, paragraph 2. Payment method information is stored by a payment processor designated by the Company, and the Company does not store full card numbers.

  3. The billing currency is set to the currency the organization chooses when it first registers a payment method and cannot be changed afterwards. However, for organizations that wish to pay in a currency for which no rate table is announced on the website, and for organizations that pay by invoice under a contract, the fees and the billing currency are set by a quotation or contract.

  4. Organizations that pay by invoice under a contract pay each invoice by the method and within the period set out in the contract. Where fees and conditions are separately agreed in a quotation or contract, those terms take precedence over this Article.

  5. If the Service cannot be used normally for reasons attributable to the Company, the Company reduces or refunds the fees to the extent the Service could not be used.

  6. If a charged amount remains unpaid 30 days after its billing date, the Company may restrict the organization's use of the Service after notifying the organization in advance.

Article 9 (Obligations of the Company)

  1. The Company does not engage in acts prohibited by applicable laws or these Terms or contrary to public order and morals, and strives to provide the Service in a stable manner.

  2. The Company does not send commercial advertising to users who have not consented to it.

  3. If the Company finds a user's opinion or complaint justified, the Company handles it without delay. If the Company cannot handle it immediately, the Company informs the user of the reason and the expected schedule.

  4. The Company establishes and operates a security system to protect users' personal information in accordance with the Company's Privacy Policy.

Article 10 (Obligations of Users)

  1. Users must comply with these Terms, applicable laws and the usage guidance announced by the Company.

  2. Users must not engage in any of the following:

  • a) Providing false information, or using another person's information without authorization, when applying or updating information.
  • b) Infringing the intellectual property rights, reputation or other rights of the Company or third parties.
  • c) Harming the Service or other users through hacking, distributing malicious programs, sending spam or similar means.
  • d) Impersonating the Company's management, employees or representatives.
  • e) Disrupting the normal operation of the Service, for example by sending excessive requests through automated means.
  • f) Using information about other users obtained through the Service beyond the purpose of the relevant event, or providing it to third parties.
  • g) Acts objectively judged to be associated with crime.
  • h) Other acts that violate applicable laws or these Terms.

Article 11 (Content)

  1. The rights to content that users post on the Service belong to those users.

  2. The Company may store, reproduce, transmit and display users' content, including hosts' logos, to the extent necessary to provide and operate the Service.

  3. If the Company determines that content violates applicable laws or these Terms, it may stop displaying or delete the content, and it notifies the user in advance unless the matter is urgent.

Article 12 (Suspension of the Service)

  1. The Service is in principle available 24 hours a day, every day of the year.

  2. The Company may temporarily suspend the Service in any of the following cases:

  • a) When operationally necessary, such as for system maintenance, expansion or replacement, or in the event of a system failure.
  • b) In the event of force majeure, such as natural disasters, national emergencies or power outages.
  • c) When a surge in usage makes it difficult to provide the Service normally.
  1. When the Company suspends the Service under paragraph 2, it announces this in advance. If it cannot announce in advance for reasons beyond its control, it announces afterwards.

Article 13 (Termination and Restriction of Use)

  1. Users may terminate the service agreement at any time by sending a request to support@umoh.io, and the Company processes the request without delay after verifying the user's identity.

  2. Even if an organization terminates the service agreement, event fees already incurred remain payable, and events already published continue to be settled and charged under Article 8 until their event page end dates.

  3. If a user violates Article 10, or an amount remains unpaid after the Company has restricted use under Article 8, paragraph 11, the Company may restrict the user's use of the Service or terminate the service agreement. In this case, the Company notifies the user in advance by email of the reason, the details of the restriction and how to object. The user may object by email within 15 days of receiving the notice, and the Company responds within 15 days of receiving the objection.

Article 14 (Damages and Limitation of Liability)

  1. If the Company or a user causes damage to the other party by violating these Terms, the party at fault compensates the other party for that damage.

  2. The Company is not liable for the following damage, except where the Company (including persons it engages to perform its obligations and its employees) is at fault through intent or gross negligence:

  • a) Damage caused by the inability to provide the Service due to force majeure such as natural disasters.
  • b) Damage caused by a telecommunications carrier suspending or failing to properly provide its telecommunications service.
  • c) Damage caused by the inability to use the Service for reasons attributable to the user.
  • d) Damage related to the reliability or accuracy of information posted by users.
  • e) Damage arising from disputes, through the Service, between users or between users and third parties.
  • f) Damage from a user's failure to obtain the benefits the user expected from using the Service.
  1. If the Company receives a claim for damages or an objection from a third party because of a user's unlawful act or violation of these Terms, that user must compensate the Company for the resulting damage.

  2. If the Company is liable to an organization for damages, the Company's liability is limited to the total amount of event fees that the organization actually paid to the Company during the 12 months before the date on which the cause of the damage arose. This limit does not apply where the Company (including persons it engages to perform its obligations and its employees) is at fault through intent or gross negligence.

Article 15 (Notices)

  1. When the Company notifies a user, it sends the notice to the user's registered email address or displays it on the Service.

  2. When notifying an unspecified number of users, the Company may replace individual notices by posting the notice on the website or the Service for at least 7 days. However, matters that significantly affect a user's own transactions are notified individually.

  3. Users who register an inaccurate email address or other contact details may not receive the Company's notices, and users bear any resulting disadvantage unless the Company is at fault through intent or negligence.

Article 16 (Exclusion of Anti-Social Forces)

  1. Each of the Company and a Japan-based organization represents to the other that it (including its officers and, in the case of a Japan-based organization, the hosts who belong to it and use the Service; the same applies in paragraph 2) does not currently fall under any of the following, and covenants that it will not fall under any of them in the future:
  • a) Being an organized crime group, a member of an organized crime group, a person for whom five years have not passed since ceasing to be a member of an organized crime group, an associate member of an organized crime group, a company affiliated with an organized crime group, a corporate racketeer (sokaiya), a person or group engaging in criminal activities under the pretext of social or political movements, an organized special intellectual crime group, or any other person or entity equivalent to any of them (collectively, "Anti-Social Forces").
  • b) Having a relationship in which Anti-Social Forces are recognized as controlling, or being substantially involved in, its management.
  • c) Having a relationship in which it is recognized as unjustly using Anti-Social Forces, such as for the purpose of obtaining an unfair benefit for itself or a third party, or of causing damage to a third party.
  • d) Having a relationship in which it is recognized as being involved with Anti-Social Forces, such as by providing them with funds or other benefits.
  • e) Any of its officers, or any person substantially involved in its management, having a socially reprehensible relationship with Anti-Social Forces.
  1. Each of the Company and a Japan-based organization covenants to the other that it will not, directly or through a third party, engage in any of the following acts in connection with the Service:
  • a) Making violent demands.
  • b) Making unreasonable demands beyond legal responsibility.
  • c) Using threatening words or actions, or violence, in connection with transactions.
  • d) Spreading rumors, or using fraudulent means or force, to damage the other party's credibility or obstruct its business.
  • e) Any other act equivalent to any of the above.
  1. If either the Company or a Japan-based organization violates paragraph 1 or 2, the other party may terminate the service agreement immediately without any prior demand, notwithstanding Article 13, paragraph 3.

  2. A party that terminates the service agreement under paragraph 3 is not liable for any damage the termination causes to the other party. A party that violates paragraph 1 or 2 compensates the other party for any damage caused by the violation.

Article 17 (Governing Law and Jurisdiction)

  1. Matters not set out in these Terms are governed by the laws of the Republic of Korea.

  2. Disputes between the Company and users are resolved through mutual consultation; if the parties cannot agree, they are resolved through litigation in the competent court under the Civil Procedure Act of the Republic of Korea.

  3. Notwithstanding paragraphs 1 and 2, the legal relationship between a Japan-based organization (including the hosts who belong to it and use the Service; the same applies in the rest of this Article) and the Company concerning these Terms and the Service is governed by the laws of Japan, and the Tokyo District Court has exclusive jurisdiction in the first instance over any dispute between a Japan-based organization and the Company arising in connection with these Terms or the Service.

  4. These Terms were originally written in Korean. If a translation differs from the Korean version, the Korean version prevails. However, between a Japan-based organization and the Company, the Japanese version prevails.
